This is a legal and binding agreement between you, the user (referred to as “user” or “you”), of the Programs as defined below, and Learnloop Solutions Private Limited (together with its subsidiaries and international affiliates hereinafter “Learnloop“, “us”, “we”, or “our” or “the Company”), stating the terms that govern your use of the Platform as defined below. The website www.learnloopnow.com and mobile apps (collectively referred to as the “Platform”) and the information, services, and other materials contained therein are provided and operated by Learnloop. Learnloop offers curated and specially designed online education and industry-relevant certification programs and career assistance services (“Programs”).

Please review our Terms of Use, Privacy Policy, and other policies available on the Platform (collectively referred to as the “Terms”) that govern the use of the Platform and Programs. By accepting these Terms in any manner or accessing the website, you consent, agree, and undertake to abide by, be bound by, and adhere to the Terms, and if you do not agree to these Terms, you are not entitled to avail of/use the Programs, and any use thereafter shall be unauthorized.

Each Program may have a separate set of terms dealing with refunds, deferrals, payments, etc., governing such Programs, and our corporate clients may have executed separate written agreements with us which, in the event of a conflict, will supersede these Terms to the extent of the conflicting provisions.

These Terms shall apply to Learnloop-hosted mobile apps, WhatsApp groups, Facebook groups, Instagram pages, Facebook pages, email/SMS/phone communications, and other social media forums hosted by Learnloop, which shall be deemed to be part of the ‘Platform’ by reference. You acknowledge that certain parts of the Platform as mentioned above are provided by third-party service providers, and you agree to abide by their terms and conditions. Learnloop shall not be responsible for any disruption of services caused by such third-party service providers.

Although you may “bookmark” a particular portion of the Platform and thereby bypass these Terms, your use of the Platform still binds you to these Terms.

We may change these Terms from time to time without prior notice. You should review this page regularly. Your continued use of the Platform and Programs after changes have been made will be taken to indicate that you have read and accepted those changes. You should not use the Platform or Programs if you are not happy with any changes to these Terms.

Learnloop makes no representations that the Platform operates (or is legally permitted to operate) in all geographic areas, or that the Platform or information, services, or products offered through the Platform are appropriate or available for use in other locations. Accessing the Platform from territories where the Platform or any content or functionality of the Platform or its portions thereof is illegal is expressly prohibited. If you choose to access the Platform, you agree and acknowledge that you do so on your own initiative and at your own risk and that you are solely responsible for compliance with all applicable laws.

In order to participate in most Platform activities and to apply for a Program, you will need to register for a personal account (“User Account”) by undergoing a two-step verification process to verify your login credentials, such as your phone number by way of a one-time password which will be sent to your phone number simultaneously, and/or by providing an email address and a password that is unique.

Upon payment of the Program fees – in part or whole depending on the Program – Learnloop shall deliver the terms of use of the Program and grant you access to the Program. The invoice may be provided to you along with the email confirmation or within two (2) months thereafter. This shall be a proof of delivery against the successful payment of fees.

Owing to certain exceptional circumstances, if Learnloop has granted you access to a Program pending payment and Learnloop does not receive payments within the stipulated time periods, Learnloop may, at its own discretion, withdraw your access to the Program without giving any prior notice.

You agree that you will never divulge or share access to your User Account with any third party for any reason. You also agree that you will create, use, and/or access only one User Account and that you will not use any User Account other than your own.

In setting up your User Account, you may be prompted or required to enter additional information, including but not limited to your name and email address. Additional information may be required to confirm your identity. You understand and agree that all information provided by you is accurate, current, and complete, and that you will maintain and update your information to keep it accurate, current, and complete. You acknowledge that if any information provided by you is untrue, inaccurate, not current, or incomplete, we reserve the right to terminate your use of the Platform and your enrollment into a Program to the extent applicable.

In addition to the registration process, as part of your use of the Platform or participation in the Programs, we may obtain certain information about you and your performance in the Programs. Some of this information may be Personally Identifiable Information. We may use, maintain, and store this information to provide certain services to you now and in the future, and may share such information with our Educational Partners or third parties in conjunction with such services or for the purpose of marketing. For example, as further detailed in our Privacy Policy, we may share certain materials or information about you with third parties, including your grades/scores in our classes. Irrespective of the fact if also you have registered yourself under DND or DNC or NCPR service, you still authorize us to give you a call from us or any third party for the above-mentioned purposes till 365 days of your registration with us.

Access to the Programs is restricted to attendees or students who have specifically been granted access by Learnloop.

By registering your User Account, you agree that:

• You are registered for the Program only once and will not set up multiple User Accounts; and
• You will abide by these Terms and any terms specific to the Program.

Additional requirements apply to Students. As a Student, in addition to the points above, you agree that you are registering with the intent to complete the assignments, if any, that are relevant and applicable to the Platform or Programs into which you have enrolled.

Unless otherwise expressly agreed in writing by Learnloop, full payment for participation in a Program is required at the time of registration. In the case of Programs that include a trial window, such trial window shall be made available only after the full payment. During the trial window, upon a request by the student and to the satisfaction of Learnloop, Learnloop may, in accordance with the applicable refund policy for the particular Program, choose to refund the Program Fees paid, subject to deduction of such applicable charges for including but not limited to administrative and marketing expenses as may be decided by Learnloop from time to time. Once the trial window is closed, there will be no refund allowed for any reason whatsoever. For all the programs where there is no trial window or preparatory session, refund shall be done in accordance with the terms and conditions of the refund policy of the respective program.

It is the sole responsibility of the user enrolling in a Program to check the accuracy of and evaluate the suitability and relevance of the Program elected. The enrollment in a Program is non-transferable.

To make payment for any Program or to purchase any services or products offered by Learnloop through the Platform, you must have internet access and a current valid accepted payment method as indicated during sign-up (“Payment Method”). Learnloop does not store any of your credit card information or such other information restricted by the Reserve Bank of India (RBI) for processing payment and has partnered with payment gateways for the payment towards the services. By using a third-party payment provider, you agree to abide by the terms of such a payment provider. You agree that in case Learnloop’s third-party payment provider stores any such information, Learnloop will not be responsible for such storage and it will be solely at your discretion to allow the third party to store such information. Any loss of such information or any loss incurred by you due to the usage of such information will be solely a loss incurred by you, and Learnloop is in no way liable for any such losses and is neither responsible to reimburse/make good such losses in any manner whatsoever. You also agree to pay the applicable fees for the payments made through the Platform.

Learnloop or its representatives will not ask for OTP or other authentication-related information for any purpose, and we urge you to be cautious while making payments and during financial transactions.

Failure to pay the applicable Program fee may result in the withdrawal of your access to a Program. Depending on where you transact with us, the type of payment method used, and where your payment was issued, your transaction with us may be subject to foreign exchange fees or exchange rates. Learnloop does not support all payment methods, currencies, or locations for payment. All applicable taxes are calculated based on the billing information you provide to us at the time of enrollment/purchase.

The cancellation of the program will be as per the refund policy. Each Program has specific refund terms which shall be applicable in case of refund on account of such cancellation requests.

If you have subscribed for a free trial, the free trial period will last for the period of time specified during your sign-up. Free trials may not be combined with certain other offers. If you have subscribed to a particular paid service or product within the last six (6) months, or if your Payment Method, physical address, contact number, or email address has been associated with an existing account for such service, you may not be eligible to receive a free trial for the particular service or product. Learnloop reserves the right, in its absolute discretion, to determine your free trial eligibility. Certain limitations may also exist with respect to combining free trials with any other offers.

The Platform is owned and operated by Learnloop. We hereby grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Platform and Programs only for your personal and non-commercial use, strictly in accordance with these Terms and the Program terms and conditions.

The Programs and Platform, including all content, features, and functionality thereof, are the exclusive property of Learnloop, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. All rights not expressly granted to you in these Terms are reserved by Learnloop.

You agree not to:

• Modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit, any of the content, software, materials, or Programs, in whole or in part, found on the Platform, except as specifically authorized in these Terms or the Program terms;
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of any content, material, or software accessible through the Platform or Programs, except as permitted by applicable law;
• Access or use the Platform or Programs for any commercial purpose or any purpose other than personal and non-commercial use; or
• Use the Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Platform, including their ability to engage in real-time activities through the Platform.

Any use of the Platform or Programs not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

By accessing and using the Learnloop platform, you agree to comply with and be bound by these Terms of Use. Learnloop offers a variety of educational programs that may be subject to additional guidelines or terms. If you participate in any of these programs, you will be subject to those specific guidelines or terms, which are incorporated herein by reference.

Learnloop collaborates with various educational partners to offer a range of programs. However, the accreditation of these programs may vary depending on the educational partner. We recommend that you review the accreditation status of any program you enroll in, and ensure it meets your personal and professional needs.

Learnloop grants you a limited, non-exclusive, non-transferable license to access and use the content and services provided on the platform solely for your personal, non-commercial use. Any other use of the content and services without the prior written consent of Learnloop is strictly prohibited.

You agree to use the Learnloop platform only for lawful purposes. You are prohibited from posting or transmitting any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable. Learnloop reserves the right to remove any content that violates these terms and to suspend or terminate your access to the platform.

By submitting any content to Learnloop, including but not limited to feedback, comments, and suggestions, you grant Learnloop a perpetual, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, adapt, publish, and distribute such content. You represent and warrant that you own or have the necessary rights to submit the content and that its submission does not violate any third-party rights.

Learnloop takes the security of its platform seriously. However, we cannot guarantee that unauthorized third parties will not be able to bypass our security measures. You agree to notify us immediately if you become aware of any unauthorized use of your account or any other breach of security.

The Learnloop platform, programs, and any associated information or content may contain typographical errors, inaccuracies, or may be incomplete or outdated. Learnloop Solutions Private Limited reserves the right to correct any such errors, inaccuracies, or omissions (including after an order has been submitted) and to change or update information at any time without prior notice.

The platform, programs, and any information or Learnloop content are provided “as is” and “as available” with all faults. Learnloop does not make any promises or guarantees, whether expressed or implied, regarding the Learnloop content or the services available on or through this platform and its programs. This includes, but is not limited to, the reliability, accuracy, completeness, or suitability of the content for any particular purpose. We do not guarantee that the services will meet your expectations or that they will be uninterrupted, timely, secure, or error-free. Additionally, Learnloop does not assure any specific outcomes from the use of the services, nor that any software issues will be corrected.

Users understand and agree that any content, data, or other materials downloaded or otherwise obtained through the Learnloop platform or programs are accessed at their own discretion and risk. Users will be solely responsible for any damage to their devices or loss of data that results from such activities.

Information on the platform regarding EMI options or loans for payment of program fees is provided for informational purposes only. These loan facilities are offered by third-party credit providers, and Learnloop is not involved in or responsible for any arrangements you may enter into with these providers. You will be subject to the terms and conditions of your agreement with the third-party credit providers, and Learnloop will not be liable for any aspect of such arrangements.

Learnloop will not be responsible for any use of Learnloop content or any other information or material obtained through the platform or programs. This includes any errors, omissions, or any loss, damage, or defamation resulting from your use of or reliance on such information. No advice or information, whether oral or written, obtained by the user from Learnloop or through the services, will create any obligation or guarantee by Learnloop.

If you find any information on the platform or programs to be incorrect or objectionable, or if you are the owner of any content and wish for it to be removed, please notify us at the contact information provided below.

Testimonials, reviews, and success stories on the platform, including but not limited to those regarding salary increases, promotions, etc., reflect individual experiences of users who have engaged with our products and/or services. These results are individual and may vary; they are not necessarily representative of what all users will achieve. Learnloop does not guarantee similar outcomes for every user. The testimonials are unique to the individuals providing them and may not indicate future performance or success for others.

There may be trademarks, logos, and brand names of other companies, including educational partners, featured or referenced on the website (“Third Party IP”). The use of these names, trademarks, or brands does not imply endorsement by Learnloop. These are the property of their respective owners.

You may not use any Third Party IP, or any variations thereof, without the owner’s prior written consent. Unauthorized use of Third Party IP for promotional purposes or in a manner that implies a relationship or endorsement by the owner is prohibited. Nothing on the platform should be interpreted as granting any license or right to use any Third Party IP without the express written permission of the owner.

The programs offered on the Learnloop platform are subject to change without notice. Learnloop does not guarantee the availability of any program or that you will achieve specific results or outcomes from participating in a program. You are responsible for evaluating whether a program is suitable for your needs.

To the fullest extent permitted by law, Learnloop, its affiliates, and its partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of the platform.

Learnloop may provide links to third-party websites for your convenience. However, we do not endorse or assume any responsibility for the content, products, or services offered by those websites. Your use of third-party websites is at your own risk, and you should review the terms and conditions of those websites before using them.

You agree to indemnify, defend, and hold harmless Learnloop, its affiliates, and its partners from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the platform, your violation of these Terms of Use, or your violation of any rights of another.

Learnloop reserves the right, in its sole discretion, to terminate your access to the platform and the services provided, without notice, for any reason, including but not limited to a breach of these Terms of Use. Upon termination, all rights granted to you under these Terms of Use will cease immediately.

These Terms of Use constitute the entire agreement between you and Learnloop concerning your use of the platform. If any provision of these terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. Learnloop’s failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
